Terms of Service

These Terms of Service govern your use of this website and your participation, or your company's participation as a sponsor, in the AIQ Global Energy Soirée (the "Event"), organized by Upright Digital LLC, a Texas limited liability company ("Upright Digital," "we," "us," "our"). By using this site or registering for the Event, you agree to these Terms.

Invitation-Only Event

The Event is invitation-only. Upright Digital reserves the right to verify, approve, or decline any registration at its discretion in order to maintain the integrity and exclusivity of the Event.

Registration Accuracy

You agree to provide accurate, current information when registering, whether registering yourself, being registered by a sponsoring company, or being imported from a partner guest list. Sponsoring companies are responsible for the accuracy of guest information they submit on behalf of their invitees.

Event Attendance Terms

Additional terms specific to attending the Event, including admission requirements, code of conduct, photography and media consent, liability, and event modifications, are presented and must be accepted during registration. Those terms are incorporated into this agreement by reference.

Pass Fees & Payment

Some invitations carry a complimentary pass and others require payment; your invitation and the registration page will make clear which applies. Where payment is required, the fee is stated in US dollars and is charged at the time of registration.

Payments are processed by Stripe through its secure hosted checkout. We do not collect, process, or store card details on this website. Your pass is issued only once payment is confirmed by Stripe.

Any applicable taxes, currency-conversion charges, or fees imposed by your bank or card issuer are your responsibility and are additional to the stated fee. Refund and transfer terms are set out in our Refund & Cancellation Policy.

If you believe a charge is incorrect, please contact us first so we can resolve it directly. Our Refund & Cancellation Policy is the agreed remedy for cancellations, and we ask that you raise any issue with us before initiating a dispute with your card issuer.

Sponsorship Terms

Sponsorship packages, pricing, and included benefits are described in our current sponsorship brochure and are confirmed in writing with each sponsoring company. Sponsorship fees are currently invoiced and paid offline. See our Refund & Cancellation Policy for payment and refund terms.

Intellectual Property

All content on this website, including text, graphics, and the AIQ and Upright Digital names and marks, belongs to Upright Digital and its partners and may not be used without permission. Sponsor and partner logos remain the property of their respective owners.

Events Beyond Our Control

We are not responsible for failure to hold the Event, or for changes to its date, venue, or programming, where caused by circumstances beyond our reasonable control, including but not limited to natural events, severe weather, public health measures, government or regulatory action, travel restrictions or disruption, civil or political unrest, strikes, utility or infrastructure failure, or venue closure.

If the Event cannot proceed for such reasons, we will notify registered guests and sponsors as soon as reasonably possible and apply our Refund & Cancellation Policy. We are not responsible for travel, accommodation, visa, or other incidental costs you incur in connection with the Event.

Disclaimers & Limitation of Liability

This website and the Event are provided on an "as is" basis. Event details, schedules, and programming are subject to change at the discretion of Upright Digital and venue management.

To the fullest extent permitted by law, Upright Digital, AIQ, and their partners are not liable for indirect, incidental, or consequential damages arising from your use of this site or attendance at the Event. Our total aggregate liability to any guest in connection with the Event or this website is limited to the amount that guest actually paid for their pass. Where a pass was issued at no charge, our aggregate liability is limited to the resupply of that pass.

Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any disputes arising in connection with the Event or these Terms will be resolved in the courts of Harris County, Texas. As a business professional attending or sponsoring a business event, you acknowledge this is a reasonable and agreed forum for any dispute.

General

These Terms, together with the Terms & Conditions accepted at registration, our Privacy Policy, and our Refund & Cancellation Policy, form the entire agreement between you and Upright Digital LLC regarding the Event and this website. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. If you register on behalf of a company, you confirm you are authorized to accept these Terms for that company. Registration is intended for business professionals aged 18 or over.
